Lavery represents Lexis Média during the acquisition of 12 regional newspapers from Transcontinental
A Lavery team advised the Groupe Lexis Media in connection with the acquisition of 12 regional newspapers from Transcontinental. The Groupe Lexis Media, which already publishes Homme, Mieux-Être, Moi Parent and Maternité, now owns the following newspapers: Le Citoyen Rouyn-Noranda, Le Citoyen de la Vallée-de-l'Or, L'Écho Abitibien and La Frontière, distributed in Abitibi Témiscamingue; L’Action d'Autray, L’Action - édition de mercredi, L’Action - édition du week-end, L’Express Montcalm and Hebdo Rive-Nord, in Lanaudière; and Le Bulletin, La Petite-Nation and La Revue, in Outaouais. The Lavery team was led by Eric Lavallée and included Laurent Bellemare-Proulx, Mylène Boisvert and Justin Gravel.

Lavery’s Sherbrooke office participates in the 2017 edition of Défi à l’Entreprise
On November 18, a Lavery team from the Sherbrooke office participated for the third consecutive year in the Défi à l’Entreprise, organized by Les Volontaires of the Cégep de Sherbrooke. The theme this year was the Défis d’Astérix. The Défi à l’Entreprise is a sporting event that brings together 50 of the most dynamic teams in Estrie. Teams are composed of 10 competitors for a total of 500 participants, selected from among the different companies participating. Over 100 volunteers work to make the event a success, supported by a number of brand sponsors. Participating companies come from throughout the greater Estrie region. The event raises funds for the Les Volontaires college sports teams so that they can compete in major sports tournaments in Quebec and Canada, and also promotes health and quality of life for workers through physical activity. Lavery represents Bestar inc. in a transaction with Novacap
On July 20, 2017, Novacap, a Canadian leader in private equity, has acquired an important stake in Bestar Inc. (“Bestar“), a leading designer and manufacturer of ready-to-assemble home and office furniture primarily sold online in Canada and the United States. Bestar Inc. was represented by a team at Lavery including Hubert Pépin (Mergers and acquisitions), Isabelle Mercure (Mergers and acquisitions) and Marilyn Paré (Mergers and acquisitions), Éric Lavallée (Intellectual property), Dave Bouchard (Labour and Employment) and Mylène Boisvert (Financing).

Lavery supports the Université de Sherbrooke’s Faculty of Law and its students
On March 9, 2017, several members of the firm attended the official opening of the new library of the Faculty of Law at the Université de Sherbrooke. The rebuilding of the Faculty library was made possible by a substantial financial contribution by Lavery and other partners. With the upgrading completed, the library will now provide law students with high quality work spaces, equipped with cutting edge technology and arranged to facilitate teamwork. We would note that on March 22, 2016, following Lavery’s financial contribution, the Faculty named a new multimedia room after the firm. A team from Lavery’s Sherbrooke office participates in the Défi à l’entreprise competition
For the second year running, a team from Lavery’s Sherbrooke office participated in the Défi à l’entreprise competition, whose 30th edition was held on November 19, 2016. The purpose of this friendly competition between various local businesses is to raise money for CEGEP de Sherbrooke sports teams (les Volontaires). Lavery acts on behalf of Vert Médical within the scope of its acquisition by Canopy Growth Corporation
On November 1, 2016, Canopy Growth Corporation acquired Vert médical, a Quebec-based producer of medical marijuana. Lavery represented Vert médical in this file. Vert médical is a company that’s currently awaiting an authorized producer permit from Health Canada that will allow it to legally grow medical marijuana in its ultramodern plant in Saint-Lucien. In return for Vert médical’s shares, Canopy Growth assumed a debt of approximately $500,000 and acquired the lease and the right of purchase on 90 acres of land and a 7,000-sq.-ft. administrative center and indoor growing plant. Moreover, it will issue Canopy shares – close to 300,000, to be issued progressively as a function of reaching certain milestones – to former shareholders. Canopy also simultaneously acquired 75 % of the issued and circulating shares of Groupe H.E.M.P.ca, in return for a payment $300,000, the issuance of close to 260,000 capital shares and the assumption of certain debt obligations. Lavery’s team consisted of Marilyn Paré and Alicia De Praeter, lawyers in the Business law group. Over the course of the mandate, they were supported by Vincent Towner and Mylène Boisvert (Real estate), Dave Bouchard (Employment law) and Guillaume Synnott and Josianne Beaudry (Securities).
