André Vautour gives a training session on SME governance
On November 11, 2015, in Trois-Rivières, André Vautour, a partner at Lavery and the chair of the board, will give a training session entitled “Comprendre ses devoirs légaux et les risques de responsabilité” (Understanding your legal obligations and liability risks) as part of an Institute for governance of private and public organizations (IGPPO) training initiative. During November, the IGPPO will host a series of five training sessions given by renowned specialists, to increase the competencies of current and future directors of SMEs in the Trois-Rivières region. Five Lavery lawyers at the Salon Carrière Formation de Québec 2015
On October 23 and 24, 2015, five lawyers from Lavery’s Quebec office participated in the Salon Carrière Formation de Québec in order to promote the Lavery GO inc. Program. Sylvain Pierrard appointed to the board of CCIFC
Sylvain Pierrard, a member of Lavery’s Business Law Group whose practice focuses on trademarks, copyright and tax, has been appointed to the board of directors of the Chambre de commerce et d’industrie française au Canada, section Québec. Since 1886, the CCIFC—an independent not-for-profit organization—has sought to develop economic ties between France and Canada.

Jules Brière – panellist at “An officially bilingual constitution for Canada in 2017” study day
On November 6, 2015, Jules Brière, a partner at Lavery who practices in constitutional law, administrative law, health law and the law governing public lands, will participate in a session entitled “Constitutional bilingualism – Issues and Challenges of French Constitutional Drafting” during “An officially bilingual constitution for Canada in 2017?” study day/colloquium presented by the University of Ottawa. Emil Vidrascu publishes an article on the Romanian Civil Code
Emil Vidrascu, a Litigation partner at Lavery, is the author of an article entitled “Développements jurisprudentiels québécois en matière d’enrichissement injustifié” (Quebec case law developments on unjust enrichment) contained in the book “Le nouveau Code civil roumain : Vu de l’intérieur – Vu de l’extérieur” (The new Romanian Civil Code: seen from the inside – seen from the outside), published this fall. This book gathers the lectures given at an international conference on new Romanian Civil Code which took place in Bucharest in 2013.

Martin Bédard and Julie Brisson, speakers at the 2015 APFF Conference
On October 7, 8 and 9, 2015, the Centre des congrès de Québec hosted the annual conference of the Association de planification fiscale et financière (APFF). On this occasion, Lavery’s Martin Bédard and Julie Brisson did a presentation entitled “Les règles fiscales en matière de divorce et de separation” (Tax rules in cases of divorce and separation). The speakers did an overview of tax rules regarding divorce and separation including attribution rules as well as an analysis of certain recent rulings and policies which had an impact on these questions.

Patrick A. Molinari elected first Vice President of CIAJ
On October 13, 2015, Patrick A. Molinari, counsel at Lavery, was elected first Vice President of the Canadian Institute for the Administration of Justice (CIAJ) during the annual meeting of its board of directors in Saskatoon. The CIAJ is presided by the Hon. Justice Georgina Jackson of the Saskatchewan Court of Appeal. The CIAJ is a pan-Canadian non-profit organization promoting excellence and leadership in the administration of justice through knowledge, learning and the exchange of ideas. The CIAJ offers education and research programs and provides a forum for everyone interested in the administration of justice. The CIAJ was created in 1974 and is now comprised of over 1000 members of legal professions, the judiciary, and private and public organizations.

Éric Gélinas, speaker at the tax conference on business reorganization
Éric Gélinas, a counsel at Lavery, will take part in the 4th edition of the tax conference on business reorganization which will take place on November 17 and 19, 2015, in Quebec City and Montreal respectively. Mr. Gélinas will discuss the tax rules regarding Parts IV.1 and VI.1 of the Income Tax Act (ITA) and address particular situations using scenarios. These ITA provisions are often misunderstood and their unexpected application within the frame of business reorganizations might cause adverse tax consequences. Emmanuel Sala, co-speaker on flow-through shares
On October 1st, 2015, Mr. Emmanuel Sala, a partner at Lavery, and Mr. Robin Lévesque of the financial services firm Brassard, Goulet Yargeau, gave a conference organized jointly with the Association de planification fiscale et financière (APFF) and entitled “Actions accréditives: Revue des aspects financiers et développements récents en matière fiscal” (Flow-through shares: a review of the financial aspects and recent developments in tax matters), which was presented to the business community in Quebec City. On this occasion, they reviewed the main financial and tax aspects to consider when investors purchase flow-through shares. Special attention was given to the most recent changes in tax matters and both speakers differentiated between the good and not so good strategies in this field.

Louis-Martin Dubé, panelist at the Montréal Real Estate Strategy & Leasing Conference
The 9th Montréal Real Estate Strategy & Leasing Conference took place on October 15, 2015, at the Palais des congrès de Montréal. Mr. Louis-Martin Dubé, a partner at Lavery, took part in this event as panelist for a conference entitled “Negotiating strategies for today’s market: how to understand the deal, resolve key issues, and close the transaction”. This conference targets all executives responsible for their organization’s asset management strategies as well as all the individuals who play an integral role in the leasing process in office, industrial and retail markets

Lavery holds a symposium in Labour and Employment Law in Sherbrooke
Lavery’s Sherbrooke office organized a symposium in Labour and Employment Law on October 9, 2015. Gathered at the Delta Hotel, about 125 attendees got to participate in various workshops presented by Danielle Gauthier, Jean-François Pagé, Geneviève Chamberland and Dave Bouchard. The topics addressed in this conference revolve around the gathering and use of personal information, recent legal and case-law developments, social media in the workplace and the obligation to discipline dangerous acts before being held responsible by the CSST.

Jean-Philippe Turgeon and Stéphanie Destrempes publish an article in the IBA-International Franchising Newsletter
Mr. Jean-Philippe Turgeon and Ms. Stéphanie Destrempes of Lavery’s Franchising and distribution group wrote an article in the September 2015 issue of the International Franchising Newsletter of the International Bar Association Legal Practice Division presenting a comparative overview of the application of the implied duty of good faith in franchise agreements in Quebec, following the Dunkin Brand case, and in the rest of Canada and abroad, including the United States, France, United Kingdom and Australia, where franchise is a significant area of the industry.
