BIOGRAPHY

Associate
Valérie Boucher practises in commercial and corporate law. She has acted in various share and asset sales and acquisitions, and played an important role in numerous reorganizations of small, medium and large businesses. She has also represented entrepreneurs and investors with respect to the acquisition of interests in private issuers.

 

Ms. Boucher advises entrepreneurs on the various legal issues relating to their businesses. She drafts and negotiates commercial agreements of any kind, including distribution contracts, supply contracts, subscription agreements, shareholders agreements, partnership agreements, joint ventures and strategic alliances, confidentiality agreements, service contracts and stock option plans for private corporations.

 

She also has in-depth knowledge of the law governing the various kinds of trusts and, moreover, authored the 20th fascicule of the encyclopedia JurisClasseur Québec - Biens et publicité des droits, published by LexisNexis, dealing with the Quebec law of trust.

 

Representative work

  • Drafting and negotiation of various business agreements, including: agreement for the development of a new technology for a moulded plastics product manufacturer, general conditions of purchase and sale for businesses in various industries, and software development services contract for a manufacturer in the telecommunications industry
  • Active role in the mandate for the acquisition of the Montreal Canadiens hockey franchise, the Bell Centre and related companies by a group of investors led by the Molson brothers
  • Legal advice to start-up companies on raising financing from public and private venture capital corporations and from angel investors
  • Design and set-up of asset protection structures for business people
  • Drafting and negotiation of letters of intent and final agreements for share and asset sales and acquisitions
  • Legal advice to numerous shareholders of private corporations on the conclusion of shareholder agreements
  • Drafting of the necessary legal documentation for estate freezes and the creation of family trusts (in the context of inter-generational business transfers)
  • Legal advice to a limited partnership in the energy sector on the effects of the application of Quebec law to a service contract
